The data room, after the deal.
One sealed copy both sides can point at, instead of two USB sticks that might not agree.
Protection scope:Post-closing disclosure record
What is deposited
- The complete document set as it stood in the data room on the agreed date
- The data room index, with path, version and date for every document
- A SHA-256 over the whole package and over every single file
- The Q&A log and the access log, where your provider exports them
- The disclosure letter and its annexes
- The signed transaction documents, if you want them in the same place
How it comes back out
- 01
Either party asks. Not just the one who paid.
- 02
We hand it over within five business days, with the checksums and the index.
- 03
There is no trigger event and no objection. The other party is informed and cannot hold it up.
- 04
Every retrieval is recorded and both parties get the record.
What we owe — and what we don't
We owe
- Encrypted storage inside the EEA only, for the whole agreed period
- A checksum over the package and over every single file, formed on the day of deposit
- An index of the deposited set, handed over with it
- Handing over to either party within five business days of a request
- A record of every retrieval, to both parties
We do not owe
- That the set is complete, or that it is what either party believes was disclosed
- Any review, classification or redaction of the material
- Any statement on whether a document was disclosed within the meaning of the purchase agreement
- Advice to either party on the transaction
We hold the record. What it proves is for the parties and, if it comes to it, for a court.
Who it is for
Acquisitive funds and strategics who face the same question at every closing, and the advisers and brokers who run those processes. One decision, every deal after it.
What it is not

FAQ
Common questions.
Why not just keep the data room open?
Your data room provider is engaged and paid by the seller. Its archive is the seller's archive, and the seller decides who still has access to it.
What is wrong with the USB stick?
Not that it gets lost. That two of them disagree, and two years later nobody can say which one was the data room on signing day.
Who can get it out?
Both parties, at any time, within five business days. No trigger event, no objection, no consent from the other side.
There is personal data in a data room.
There is, always. The deposit runs under a data processing agreement, inside the EEA only, and the whole set is deleted at the end of the agreed period unless both parties extend it.
